01Interpretation
In these Terms & Conditions, "we", "us", "our" and "the Company" mean RootGrowth Digital (Pty) Ltd, registration number 2026/606963/07, a private company duly incorporated in the Republic of South Africa in terms of the Companies Act 71 of 2008. "You", "your" or "the Client" means any person or entity that accesses our website or engages our services. "Services" means the website design, development and local SEO / Google-visibility services we agree to provide, as set out in a quote, proposal or written agreement. "Website" means rootgrowthdigital.com and any subdomains we operate.
Headings are for convenience only and do not affect interpretation. A reference to "writing" includes e-mail, unless stated otherwise.

RootGrowth Digital (Pty) Ltd is a private company registered with the Companies and Intellectual Property Commission (CIPC) of South Africa under registration number 2026/606963/07, with effect from 07 August 2026. Our registered office is at 13 Wack Wack Close, Cape Town, Western Cape, 7140.
By using our website or engaging our services, you are contracting with this registered legal entity, and not with any individual director or employee in their personal capacity.
03Use of the website
You may browse and use this website for lawful purposes only. You agree not to:
- use the website in any way that could damage, disable, overburden or impair it, or interfere with anyone else's use of it;
- attempt to gain unauthorised access to any part of the website, other accounts, or computer systems connected to it;
- use any automated system, including "robots" or "spiders", to access the website without our prior written consent, other than standard search engine indexing;
- reproduce, duplicate, copy, sell or resell any part of the website except as expressly permitted.
We may suspend or restrict access to the website, in whole or in part, at any time, without notice, for maintenance, security or any other reason.
04Services & quotes
RootGrowth Digital is a Cape Town–based web design and local SEO agency. We build websites and Google-visibility systems for businesses of all kinds — from trades and home services to retail, professional services, hospitality and beyond — with the aim of making our clients the obvious choice when customers search for them locally. Our services include once-off website builds and ongoing local SEO / Google-visibility support, offered on a monthly plan (see clause 5).
The specific scope, deliverables and timeline for any engagement are set out in a written quote or package form, which forms part of these Terms once accepted by you. Quotes are valid for 14 days from the date of issue unless otherwise stated. Delivery timelines are estimates and depend on you supplying content, imagery and feedback in good time. We reserve the right to revise a quote if the scope of work changes after acceptance.
Unless copywriting is purchased as an add-on, you are responsible for supplying the copy and imagery used on your website.
05Fees & payment
Once-off website builds. A deposit of 50% of the project fee is payable on approval of your quote; no work begins, and no payment is due, before you approve the quote. This deposit secures your build slot. We will send Invoice 1 (the deposit, with our banking details) immediately on quote approval, and it is due within 7 days. Once the site is built and you've approved the finished work, we will send Invoice 2 for the remaining 50%, also due within 7 days and payable before the site goes live.
Monthly plans. Our Care (R500/month), Optimise (R1,000/month) and Partner (R2,000/month) plans are invoiced monthly in advance and payable by the 1st of each month. Either party may cancel a monthly plan with 7 days' written notice.
Accepted payment methods. EFT/bank transfer (details provided on your invoice), PayPal invoicing, and Stitch Express payment links. All fees are quoted in South African Rand (ZAR) and are exclusive of VAT unless stated otherwise.
We reserve the right to charge interest on overdue amounts at the prescribed rate under the Prescribed Rate of Interest Act 55 of 1975, and to suspend services until outstanding amounts are settled.
06Intellectual property
Unless otherwise agreed in writing, all intellectual property in the website, our brand, our proprietary tools, templates and methodologies remains the property of RootGrowth Digital (Pty) Ltd. Ownership of deliverables created specifically for a client transfers to that client only once we have received payment in full for the relevant work, unless the applicable quote or agreement states otherwise.
We may retain and display completed work in our portfolio and marketing materials, unless you request otherwise in writing and we agree.
07Client materials
You warrant that any content, logos, images, trademarks or other material you provide to us for use in our work ("Client Materials") do not infringe the intellectual property or other rights of any third party, and you indemnify us against any claim arising from our use of Client Materials as instructed by you.
08Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other in connection with an engagement, and to use it only for the purposes of that engagement, except where disclosure is required by law.
09Warranties & liability
We provide our services with reasonable care and skill. However, search ranking and visibility outcomes depend on factors outside our control, including Google's algorithms, third-party platforms and market conditions, and we do not guarantee specific rankings, traffic or lead volumes.
To the maximum extent permitted by South African law, our total liability to you for any claim arising from our services is limited to the total fees paid by you for the specific service giving rise to the claim in the three months preceding the claim. We are not liable for indirect, special or consequential loss, including loss of profit, revenue or data.
Nothing in these Terms limits liability that cannot lawfully be excluded, including liability for gross negligence or wilful misconduct.
10Indemnity
You agree to indemnify and hold RootGrowth Digital (Pty) Ltd, its directors and employees harmless from any claim, loss or damage arising from your breach of these Terms or your misuse of the website or our services.
11Privacy
Our collection and processing of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference and complies with the Protection of Personal Information Act 4 of 2013 (POPIA).
12Suspension & termination
Either party may terminate an engagement on written notice as agreed in the relevant proposal or statement of work, or, where no notice period is agreed, on 30 days' written notice. We may suspend or terminate an engagement immediately if you breach these Terms and fail to remedy the breach within 7 days of being notified. Fees for work completed up to the date of termination remain payable.
13Force majeure
Neither party is liable for any delay or failure to perform caused by circumstances beyond its reasonable control, including load shedding, network or platform outages, natural disaster, or acts of government.
14Governing law
These Terms are governed by the laws of the Republic of South Africa.
15Dispute resolution
The parties will first attempt to resolve any dispute arising from these Terms through good-faith negotiation. If a dispute cannot be resolved within 30 days, either party may refer it to mediation before pursuing formal legal proceedings. Subject to that, the parties submit to the non-exclusive jurisdiction of the South African courts.
16Changes to these terms
We may update these Terms from time to time to reflect changes to our services or applicable law. The version in force is the one published on this website at the time you use it, and the "last updated" date below shows when it was last revised.
